Manhattan Associates Gains Robust Transportation Management Functionality, Increases Fortune 500 Customer Base and Continues to Expand Its Suite of Extended Supply Chain Solutions

ATLANTA and BURLINGTON, Mass - December 31, 2002 - Manhattan Associates, Inc., (Nasdaq: MANH), the global leader in providing extended supply chain execution (x-SCE) solutions, and Logistics.com, the leader in integrated logistics planning and execution solutions for shippers and carriers, today announced that Manhattan Associates has acquired certain Logistics.com assets from Internet Capital Group for a one-time cash payment of approximately $20 million.

This acquisition will bridge the gap between transportation planning and execution, greatly expand Manhattan Associates' existing transportation management solutions and further strengthen the Company's leadership position in the global supply chain execution market. Logistics.com's integrated transportation solutions give users the ability to buy, sell, manage and optimize transportation services. More specifically, these solutions cover shipper and carrier management and contractual and spot procurement across all modes of transportation—domestic and international. For customers, the benefits derived from these solutions and Logistics.com's singular focus on transportation include:

  • Lower costs - overall transportation spend, inventory and administration
  • Improved customer service - quality, compliance and delivery
  • Information and shipment visibility - reporting, tracking and alerts
  • Deep domain expertise - truckload, less-than-truckload, air and ocean

"The combined solutions and resources of Manhattan Associates and Logisitcs.com provide the industry with the broadest suite of integrated supply chain execution solutions, which will greatly benefit our collective customers," said Manhattan Associates' President and CEO Richard Haddrill in announcing the acquisition. "Through this acquisition, our customers will gain access to Logistics.com's functionally robust transportation solutions, which effectively manage the single largest and most controllable cost in the supply chain—transportation, while Logistics.com's customers can take advantage of our industry-leading x-SCE solutions."

Some of the unique assets that Manhattan Associates acquires through this transition include Logistics.com's:

  • Functionality. Logistics.com offers users industry-leading, robust functionality in transportation planning, procurement and execution, providing them with a seamlessly integrated transportation planning and execution solution.
  • Technology. Logistics.com's architecture, which is called Logistics Event Management Architecture or LEMA, is a Web-based, message-driven architecture, allowing carriers and partners to collaborate more easily. Secure, scaleable and reliable, LEMA is workflow based so it easily integrates with other business processes via Transportation XML (tXML).
  • Customer Base. Logistics.com's customers include many of the world's leading Fortune 500 companies in the following verticals: retail, consumer goods, food/grocery, high-tech and industrial.

"Logistics.com's technology, deep domain expertise and robust functionality in transportation planning and execution and an impressive client list, which includes numerous Fortune 500 clients and almost every major carrier in the U.S., were the key drivers behind our decision to acquire the company's assets," Haddrill continued. "This business combination clearly builds on our strategy to be the partner of choice for our customers' supply chain solutions."
